Attorney at Law

Fred Parker focuses his practice in taxation and business matters.

In the context of federal, state, and local taxation, Fred advises clients in the areas of compliance and planning. This includes taxes associated with federal and state income, sales and use, wages and benefits, property, payroll, unemployment, unclaimed property, and transfers. His representation extends to defending, appealing, and litigating examinations and audits conducted by the Internal Revenue Service and state taxing authorities through the administrative processes then to state and federal courts, including the United States Tax Court.

Fred’s business practice dovetails with his tax experience. He assists clients with internal guidance and operations, including entity selection, formation, ownership agreements and interest transfers, planning, and ongoing maintenance. He also works on external transactions typically involving the negotiation and preparation of third-party agreements, acquisitions and sales, and property and interest transfers.

Fred also represents tax exempt organizations, including non-profits. They face particular federal, state, and local tax laws regulating compliance and governance, including those overseeing compensation and benefits, private inurement, intermediate sanctions, political limitations, unrelated business activities, and joint ventures. Fred advises exempt organizations on how best to meet, if not exceed, these requirements, from formation to ongoing maintenance and operations.

Fred’s legal background includes commercial litigation. While not Fred’s current focus, that experience affords him a unique and beneficial perspective to provide clients during business and tax matters.
